Terms and Conditions of Sale

General terms and conditions of sale of G.Elettric S.r.l.

  1. GENERAL TERMS AND CONDITIONS OF SALE: The commercial relationships between GElettric S.r.l. and Customers are governed by these general terms and conditions of sale and by what is stated in the order confirmation. Any deviations from these terms may be evaluated and possibly accepted through written communication from GElettric S.r.l. GElettric S.r.l. reserves the right to modify or supplement these general terms and conditions at any time, including in consideration of any regulatory changes, without prior notice. Such changes will be binding for customers.
  2. VALIDITY OF QUOTATIONS: All quotations are valid for 30 days, unless otherwise specified.
  3. TAXES AND DUTIES: The prices indicated are exclusive of VAT and exclude local duties and taxes.
  4. ORDERS: Received orders are subject to confirmation by the Sales Office, which will notify the Customer. Cancellations of already confirmed orders will not be accepted unless agreed upon in writing, and in any case, GElettric S.r.l. reserves the right to claim compensation for costs arising from such cancellations. The supply obligations related to confirmed orders are deemed fully fulfilled at the time the goods are handed over to the courier.
  5. DEFINITION OF MOQ: If a component required for the production of a product is subject to a minimum order quantity (MOQ) imposed by the supplier, the Customer will be required to take any excess quantity in case the production of the article is discontinued or if GElettric is not informed of the intention not to proceed with further reorders. This obligation applies exclusively if the component is intended solely for the Customer’s products and cannot be reused by GElettric for orders from other customers.
  6. MODIFICATIONS: No modifications to product specifications or terms of sale may be made unless agreed upon in writing. If such modifications result in a substantial increase or decrease in cost and/or production time, GElettric S.r.l. will update the quotation, which must be followed by an adjustment of the Customer’s purchase order.
  7. SHIPPING AND DELIVERY TERMS: Shipping times vary depending on the products and will be specified in the order confirmation sent by GElettric S.r.l. to the Customer for the completion and conclusion of the order. The goods are shipped to the destination indicated by the Customer on the order confirmation. Periods of absence at the indicated address or other useful delivery information must be communicated via email to the Sales Office to avoid unnecessary storage costs, which will in any case be charged to the recipient. The goods, properly packaged and complete with a transport document or accompanying invoice, are shipped to the destination indicated by the Customer via National and International Couriers or internal couriers. Shipping costs are borne by the buyer. Shipments made by GElettric S.r.l. are Ex Works (EXW). The obligations and responsibilities of GElettric S.r.l. are considered fulfilled and concluded once the goods have been handed over to the designated courier or the one chosen by the Customer. The delivery date indicated on the shipping confirmation or communicated by the seller is to be considered indicative and may be subject to variations.
  8. DELIVERY AND INSPECTION OF GOODS: At the time of delivery, before signing the consignment note, the Customer must: - verify that the number of delivered packages matches what is indicated on the transport document. In case of discrepancies, the goods must still be accepted, and the consignment note must be annotated with the actual number of packages received. Such discrepancies must be reported via email to GElettric S.r.l. - verify that the packaging is intact (not wet, torn, bent, or otherwise altered). In case of obvious breakages, damages, or tampering with the packaging, the Customer must write on the consignment note, in detail, “SPECIFIC RESERVATION OF GOODS DUE TO DAMAGED PACKAGES RECEIVED,” and immediately notify GElettric S.r.l. via email. WARNING: If the Customer accepts the goods and signs the consignment note without noting the necessary reservations, they may not subsequently claim any shortages or damages, as the signature constitutes verification and acceptance of the product’s conformity.
  9. RIGHT OF REPLACEMENT FOR TRANSPORT DAMAGES: To exercise this right, the Customer must, within 5 days of receiving the goods, send an email to the current commercial contact at GElettric S.r.l., indicating the Company Name, article code, a detailed description with photographic evidence of the defect found, the quantity, and the reference to the GElettric S.r.l. DDT. If the damage responsibility is confirmed, GElettric S.r.l. will notify the Customer via email of the acceptance of the replacement with the return details. Returns of goods with cash on delivery are not accepted under any circumstances. Any reports received after the above terms will not be considered.
  10. CONSUMER WARRANTY: The warranty is valid for 12 months from the date of sale of the product. If the Customer detects a defect within the warranty period, they may report it in writing and return the goods after authorization from the GElettric S.r.l. Sales Office. GElettric S.r.l. will examine the product and, if the defect is confirmed and it is determined that it is not due to an accident, misuse, negligence, alteration, lightning damage, flooding, short circuits caused by improper handling, repair, improper testing, or use contrary to any instructions provided by GElettric S.r.l., the latter will replace or repair the goods at no additional cost to the Customer. Transport costs from the Customer to GElettric S.r.l. and vice versa are borne by the Customer. GElettric S.r.l. reserves the right to replace the product with an equivalent one. All products returned under warranty must be properly packaged to prevent any damage. GElettric S.r.l. does not guarantee the suitability of a specific product for the intended use by the Customer. The Customer is responsible for evaluating the suitability for a specific application and communicating it to GElettric S.r.l. during the quotation request or product development phase. The supply of prototypes is subject to an NDA, and at the end of the testing period, the Customer must return the provided prototype to GElettric S.r.l. Prototypes are not marketable when shipped to customers and are not intended for use in a production environment. Prototypes must be used by the Customer solely for evaluation purposes and in compliance with the parameters agreed between the parties. The Customer is encouraged to test the product and inform GElettric S.r.l. of any issues or development ideas. GElettric S.r.l. retains all rights to the prototype and materials provided for testing and reserves the right not to proceed with the market release of the prototype product if it does not meet the same performance, compatibility, and safety levels as other GElettric products. The prototype product and technical support (where requested) are provided without warranties of suitability for the Customer’s intended use. GElettric S.r.l. cannot be held liable for any damage or loss, including loss of profits, lost earnings, or collateral damages, even if informed by the Customer of the possibility of such damages. If GElettric S.r.l. determines, upon return of the material, that there are no defects attributable to GElettric S.r.l., it may evaluate and issue an offer for a non-warranty repair of the product.
  11. LIMITED WARRANTY: The products sold are to be used only for the applications specified to the seller by the Customer at the time of request, and the warranty does not cover any other use of the product. GElettric S.r.l. cannot be held liable to the Customer or third parties for consequential, incidental, indirect, or other damages arising from or related to the products sold to the Customer, even if the Customer has been informed of the possibility of such occurrences. The limited warranty may be modified, limited, or extended only and exclusively by a written agreement signed by both parties.
  12. PAYMENT TERMS: The payment method is detailed in the quotation and thus accepted by the Customer at the time of order. In some cases, payment on sight may be required, or a different payment method may be agreed upon.
  13. COMPLAINTS: Except as provided in these Terms and Conditions or in any other written communication from GElettric S.r.l., all complaints regarding deficiencies or delays in delivery will be considered only if submitted within 10 days of the delivery date of the goods.
  14. BUYER’S DEFAULT: In case of order cancellation by the Customer or contract termination by GElettric S.r.l. due to the Buyer’s default, the Customer will be charged the full amount stipulated in the contract.
  15. FORCE MAJEURE: GElettric S.r.l. is not responsible for any delays in delivery or failure to deliver due to causes beyond its control and/or unforeseeable, such as force majeure, acts issued by civil or military authorities, fires, strikes, floods, transport delays, or difficulties in sourcing raw materials.
  16. PENALTY CLAUSE: Penalty clauses may exist and be applicable only where specifically mentioned and detailed in the contract between the parties.
  17. INCOMPATIBILITY OF INFORMATION: In case of incompatibility between the information contained in the Customer’s written acceptance and that in the quotation provided by GElettric S.r.l., the conditions detailed by GElettric S.r.l. shall prevail. By accepting the proposal and signing the contract, the Customer agrees to the terms and conditions contained therein.
  18. GOVERNING LAW AND JURISDICTION: For services and goods sold, Italian law applies, with jurisdiction in Siena.
